These Terms and Conditions (“Terms”) govern your use of the website located at https://www.hookdseo.com (the “Site”) and the services provided by Hookd LLC (“Hookd SEO,” “we,” “us,” or “our”). By accessing the Site or engaging our services, you agree to be bound by these Terms.

1. Website Terms of Use

  • Acceptable Use: You agree to use the Site only for lawful purposes. You are prohibited from using the Site to transmit any malicious code, scrape data, or engage in any activity that disrupts our servers.

  • Intellectual Property: All content, graphics, and logos on this Site are the property of Hookd LLC. You may not reproduce or distribute any part of this Site without express written permission.

  • User Accuracy: If you use our "Free SEO Audit" or "Proposal" tools, you agree to provide accurate and truthful information.

2. Services & Scope of Work

  • Boutique Approach: Hookd SEO provides specialized SEO strategy, technical audits, and content marketing for the FNB, eCommerce, and Local Service industries.

  • No Result Guarantees: Search Engine Optimization is subject to third-party algorithm changes (Google, Bing, etc.). While we use data-driven strategies to improve your visibility, Hookd SEO does not guarantee specific rankings or revenue outcomes.

  • Client Cooperation: Our success depends on your cooperation. This includes providing timely access to your website CMS (e.g., WordPress, Shopify), Google Search Console, and Analytics. We are not liable for missed deadlines caused by client delays.

3. Payment Terms

  • Billing: Unless otherwise stated in your specific Statement of Work (SOW), all SEO retainers are billed monthly in advance.

  • Late Payments: Invoices not paid within five (5) business days of the due date may result in a temporary suspension of services until the account is current.

  • Refund Policy: Due to the intensive nature of our technical and creative work, no refunds will be issued for services already rendered or for the current billing cycle.

4. Intellectual Property in Work Product

  • Ownership: Upon full payment of all fees, the Client shall own the final content and on-page optimizations created specifically for them.

  • Agency Property: Hookd SEO retains ownership of all proprietary processes, internal tools, and strategy frameworks used to perform the services.

5. Limitation of Liability

  • Algorithm Shield: Hookd SEO shall not be held liable for any loss of rankings, traffic, or revenue resulting from search engine algorithm updates or "Manual Actions" taken by search engines.

  • Maximum Liability: To the maximum extent permitted by law, Hookd SEO’s total liability for any claim arising out of our services shall not exceed the total amount paid by the Client to Hookd LLC during the three (3) months preceding the claim.

6. Termination

  • Month-to-Month: Unless a long-term contract is signed, services are month-to-month. Either party may terminate the agreement with 30 days' written notice.

  • Immediate Termination: We reserve the right to terminate service immediately if a Client engages in abusive behavior, illegal activities, or requests "Black Hat" SEO tactics that violate our professional standards.

7. Governing Law & Jurisdiction

These Terms shall be governed by the laws of the State of California. Any disputes arising from these Terms shall be resolved in the courts located in San Jose, California.
